Terms and Conditions of Service

Welcome to DeployWise ("DeployWise", "Platform", "Service", "we", "us", or "our"), operated by DeployWise Technologies. By registering for, accessing, or using our website, web application, mobile interfaces, and software-as-a-service platform, you ("Customer", "User", "You", or "Company") agree to be bound by these Terms and Conditions ("Terms").
If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms. If you do not agree with these Terms, you must not access or use DeployWise.
1. Description of Services
DeployWise provides an all-in-one cloud platform designed for field operations, workforce deployment, and labour management, including but not limited to:
- Project allocation, site assignment, and departmental management.
- Multi-shift scheduling, geofenced GPS check-ins, biometric attendance logging, and overtime tracking.
- Client invoicing, billing generation, and purchase order tracking.
- Salary structuring, payroll calculations, expense reimbursements, and wage advance approvals.
- Real-time reporting, user performance metrics, and administrative audit trails.
We reserve the right to improve, update, modify, or deprecate features of the Service at our discretion, subject to our commitment to maintaining the core functionality subscribed to by paying customers.
2. Account Registration and Access Security
2.1 Eligibility: You must be at least 18 years of age and legally competent to enter into a binding contract.
2.2 Account Accuracy: You agree to provide true, accurate, and complete registration information (including company legal name, contact email, GSTIN/tax identification, and billing details) and keep such information updated.
2.3 Credential Confidentiality: You are responsible for safeguarding the credentials of all accounts created under your company organization (SuperAdmin, Admin, and Employee roles). You must immediately notify DeployWise of any unauthorized use or security breach.
2.4 Account Responsibility: You are solely liable for all activities, transactions, and changes conducted through your company tenant and associated user accounts.
3. User Roles and Organizational Authority
DeployWise operates a multi-tenant, role-based access model:
- PlatformAdmin: System administrators responsible for platform infrastructure, plan configurations, and global governance.
- SuperAdmin: Primary customer account holder with comprehensive authority over company settings, billing, subscriptions, employee provisioning, and legal agreements.
- Admin: Designated company managers authorized to oversee projects, approve attendance, process expense reimbursements, manage shifts, and generate reports.
- Employee / Field Staff: Individual workers who access the platform to log attendance, check assignments, request wage advances, submit reimbursement receipts, and review payslips.
The Company SuperAdmin is solely responsible for assigning roles and ensuring appropriate access privileges within their organization.
4. Field Operations, Geofencing, and Attendance Verification
4.1 Location Tracking: Certain features of DeployWise (such as site check-in and check-out verification) utilize GPS geolocation and geofencing to ensure personnel are present at the designated project site.
4.2 Employee Consent: The Company represents and warrants that it has secured all necessary legal consents and notices from its employees and contractors prior to requiring GPS-based attendance, camera capture, or biometric verification through the DeployWise application.
4.3 Accuracy of Field Data: DeployWise provides tools to verify proximity and timestamps, but the Company remains solely responsible for validating employee hours, resolving exceptions, and making final wage determinations.
5. Financial Workflows: Advances, Reimbursements & Invoicing
5.1 Internal Financial Management: DeployWise provides calculating and record-keeping tools for employee advances, expense claims, and client billing. DeployWise is not a bank, NBFC, or payment processor for company-to-employee transactions.
5.2 Client Billing: Invoices generated through the platform are formatted based on company configurations. The Company is responsible for verifying the accuracy of tax rates (e.g., GST), line items, project hours, and billing recipient information before issuance.
5.3 Tax & Statutory Compliance: The Company is exclusively responsible for complying with all applicable labour laws, minimum wage regulations, tax withholdings (PF, ESI, TDS), and statutory filings in its operating jurisdictions.
6. Subscription Plans, Billing, and Payments
6.1 Paid Plans & Quotas: Access to premium tiers, increased project caps, active employee limits, and advanced analytics is provided under specific subscription plans subject to periodic fees (Monthly or Annual billing).
6.2 Payment Processing: Online subscription payments are securely processed through integrated third-party payment gateways (e.g., Razorpay). By subscribing, you authorize DeployWise to charge the designated payment method on a recurring basis until cancellation.
6.3 Taxes: All stated subscription fees are exclusive of applicable taxes (including Goods and Services Tax / GST) unless explicitly stated otherwise. Applicable taxes will be added at checkout.
6.4 Refund Policy: Except as required by law or explicitly stated in a service level agreement, all subscription fees paid to DeployWise are non-refundable. Downgrades and cancellations take effect at the end of the current paid billing period.
6.5 Failed Charges & Grace Period: If automatic recurring payments fail, DeployWise reserves the right to suspend or restrict tenant access after a reasonable grace period until the outstanding balance is settled.
7. Acceptable Use and Prohibited Conduct
You agree that neither you nor any authorized user under your company account will:
- Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law.
- Reverse engineer, decompile, disassemble, or derive the source code of the platform.
- Circumvent or attempt to circumvent authentication mechanisms, role-based permission boundaries, or multi-tenant data isolation.
- Upload, store, or transmit malicious code, viruses, or harmful payloads.
- Interfere with or disrupt the integrity or performance of the Service or its hosting infrastructure.
- Resell, sublicense, rent, or lease access to the platform to third parties without prior written authorization from DeployWise.
8. Intellectual Property and Data Ownership
8.1 DeployWise IP: DeployWise, its logos, software architecture, UI design, documentation, and proprietary algorithms are and remain the exclusive intellectual property of DeployWise Technologies and its licensors.
8.2 Customer Data Ownership: You retain all right, title, and interest in and to all project data, employee records, attendance history, financial figures, and business documents uploaded or generated by your organization ("Customer Data").
8.3 License to Host: You grant DeployWise a worldwide, limited, non-exclusive license to host, process, store, and transmit Customer Data solely to the extent necessary to provide, maintain, and support the Services.
9. Data Protection and Confidentiality
Both parties agree to maintain the confidentiality of non-public proprietary information exchanged during the use of the Service. DeployWise implements industry-standard administrative, physical, and technical safeguards to protect Customer Data against unauthorized access, loss, or disclosure, as detailed in our Privacy Policy.
10. Service Availability and SLA
10.1 Uptime Commitment: We endeavor to maintain 99.9% application availability, excluding scheduled maintenance windows announced in advance.
10.2 Offline Mode: For field staff operating in remote or low-connectivity environments, DeployWise includes Progressive Web App (PWA) offline caching capabilities. Users understand that data synchronization will occur once network connectivity is re-established.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall DeployWise, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business interruption) arising out of or in connection with your use of the Service.
- DeployWise's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount actually paid by you to DeployWise in the twelve (12) months preceding the event giving rise to liability.
12. Indemnification
You agree to defend, indemnify, and hold harmless DeployWise, its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your violation of any third-party rights (including employment, privacy, or intellectual property rights); or (c) Customer Data processed through your account.
13. Termination and Suspension
13.1 Termination for Convenience: You may cancel your subscription at any time via your company billing settings.
13.2 Termination for Cause: DeployWise may terminate or suspend your account immediately without prior notice if you materially breach these Terms, fail to pay subscription dues, or engage in fraudulent or harmful activities.
13.3 Data Retrieval upon Termination: Upon account termination, you may request an export of your company records within thirty (30) days, after which DeployWise may permanently delete or anonymize stored data in accordance with our retention policy.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
15. Modifications to Terms
We may revise these Terms from time to time to reflect changes in our Services, legal obligations, or industry practices. When material updates are made, we will notify registered SuperAdmins via email and provide an in-app review modal. Continued use of DeployWise following the effective date of updated Terms constitutes your binding acceptance.
